Please read NDA to proceed NON-DISCLOSURE AGREEMENT By accessing this dataroom the Recipient is acknowledging and accepting the following: 1. The information in the dataroom is confidential to TWM and the Vendor and is accessed under a duty of confidentiality to TWM and the Vendor. 2. The Recipient will keep confidential all information received through the dataroom and will not disclose any information to any person other than its directors, officers, employees, agents or advisors as reasonably required to determine whether it wishes to acquire the Property, and the financing of such acquisition. 3. The agreements and undertakings contained in this Agreement shall not apply to information which is already public knowledge, or which subsequently becomes public knowledge other than as a result of a disclosure in breach of the terms of this Agreement. 4. If any provision of this Agreement is prohibited or unenforceable in any jurisdiction in relation to the Recipient or TWM or the Vendor, the prohibition or unenforceability will not invalidate the remaining provisions or affect the validity or enforceability of the provision in relation to any other party or in any other jurisdiction. 5. The Recipient will pay its own costs and expenses in connection with this Agreement and all discussions and negotiations relating to the Property with TWM or the Vendor. 6. This Agreement and the terms and undertakings herein are intended to confer a right on the Vendor and the Vendor may enforce this Agreement directly against the Recipient. 7. The construction, validity and performance of this Agreement shall be governed by Irish Law and the Recipient hereby submits to the exclusive jurisdiction of the Courts of Ireland. AcceptDecline

TWM for themselves and for the vendor/lessor of the property whose agents they are, give notice that: 1. These particulars are set out as a general outline only for the guidance of intending purchasers and do not constitute an offer or contract or any part thereof and none of the statements contained in the particulars as to the property are to be relied on as a statement or representation of fact. 2. The vendor does not make or give, nor is the Agent(s) or its staff authorised to make or give any representation or warranty in respect to this property. 3. All descriptions, dimensions, references to condition and necessary permissions for use and occupation, and other details are given in good faith and are believed to be correct, but any intending purchaser, tenant or other person should not rely on them as statements or representations of fact but should satisfy themselves by inspections or otherwise as to the correctness of each of them. 4. In the event of any inconsistency between these particulars and the contract of sale, the latter shall prevail. 5. VAT may be payable on the purchase price.
